Seller Agreement
This Seller Agreement ("Agreement") is between Valley Rush Private Limited (CIN: —), having its registered office at Srinagar, Jammu and Kashmir, India ("Valley Rush", "we") and the business that registers as a seller through the Valley Rush Seller app ("Seller", "you"). By registering and accepting this Agreement in the app, you agree to be bound by it, together with our Terms of Use and Privacy Policy.
1. Registration and verification (KYC)
- You must be a business or individual legally entitled to sell the products you list in India, and the person registering must be authorised to bind the business.
- You must submit accurate business details and the documents requested in the app, which may include: proof of identity of the owner or authorised signatory, PAN, GST registration certificate (where you are required to be registered), FSSAI licence or registration (for food products), shop or trade licence, proof of shop address, photographs of the shop and a cancelled cheque or bank statement for payouts.
- Valley Rush verifies every Seller before activation. Your shop can list products and receive orders only after we approve your verification. We may ask for additional documents, and may reject or later suspend an application at our discretion, giving reasons where practicable.
- You must keep your details and documents current and tell us within 7 days of any change (ownership, address, bank account, GST or FSSAI status).
2. Listings and product information
You are solely responsible for your listings and products. Every listing must:
- describe the product accurately, with genuine images, correct specifications and the actual condition;
- show the correct MRP and selling price, net quantity, country of origin and any other declarations required by the Legal Metrology (Packaged Commodities) Rules, 2011 and the Consumer Protection (E-Commerce) Rules, 2020;
- for food products, comply with the Food Safety and Standards Act, 2006 and its labelling rules, including expiry dates (products must have reasonable remaining shelf life when delivered);
- keep stock levels accurate, so customers are not sold items you do not have.
New products you create are reviewed by Valley Rush before they appear to customers. We may edit, reject or remove any listing that is inaccurate, misleading, infringing or in breach of this Agreement.
3. Prohibited products
You must not list or sell: weapons, ammunition and explosives; narcotics, drugs and prescription medicines; alcohol and tobacco products (unless separately licensed and permitted by us in writing); counterfeit, pirated or stolen goods; products infringing any intellectual property; hazardous or banned substances; adult content; live animals; currency, securities and lottery tickets; and any product whose sale is prohibited or restricted under Indian law.
4. Orders and fulfilment
- Accept or reject new orders promptly in the app (within the time shown), and pack accepted orders within your declared preparation time.
- Hand over orders only to the assigned Valley Rush delivery partner after verifying the pickup code.
- Do not cancel accepted orders except for genuine reasons; frequent cancellations, late preparation or poor ratings may lead to reduced visibility or suspension.
- Keep your shop status (open/closed) and opening hours accurate in the app.
5. Pricing, fees and taxes
- You set your selling prices, which must include GST and must not exceed the MRP.
- Valley Rush charges a commission on the value of products sold, at the rate shown in your Seller app (the "Commission"). The current default rate is 0%, and we will notify you at least 15 days before any increase. Delivery fees paid by customers belong to Valley Rush.
- You are responsible for issuing tax invoices to customers, collecting and paying GST and other taxes on your sales, and filing your returns. Where the law requires Valley Rush, as an e-commerce operator, to collect tax at source (TCS) under Section 52 of the CGST Act or deduct tax under Section 194-O of the Income Tax Act, we will do so from your payouts and issue the relevant certificates.
6. Payments and payouts
- Customers pay Valley Rush (through our payment partner Cashfree Payments) or pay cash on delivery to our delivery partners. You authorise us to collect payments on your behalf.
- Your payout for each order is the product value less Commission, applicable taxes withheld by law, and any refund or penalty for that order.
- Payouts for online orders are transferred to your verified bank account or UPI ID through Cashfree Easy Split after the order is delivered and the return window has passed, according to the settlement cycle shown in your app. Payouts for COD orders are settled in the next settlement cycle after delivery.
- You can see every order's payout status in the Earnings section of the app. Report discrepancies within 30 days.
- We may hold payouts where an order is disputed, under return, suspected to be fraudulent, or where we are required to by law or by our payment partner.
7. Cancellations, returns and refunds
Customer cancellations, returns and refunds follow our Cancellation, Returns & Refund Policy. Where a refund is due because of your fault (wrong, damaged, defective, expired or missing items), the refund amount will be recovered from your payouts.
8. Customer data
Customer information you receive (names, items, notes) may be used only to fulfil that order. You must not contact customers for marketing, share their data or retain it longer than necessary. You must comply with the Digital Personal Data Protection Act, 2023 for any personal data you process.
9. Intellectual property
You grant Valley Rush a non-exclusive, royalty-free licence to use your shop name, logo, product images and descriptions to display your listings and promote your shop on the Platform. You confirm that you own or have rights to all content you upload.
10. Conduct, ratings and suspension
We may suspend or terminate your shop, withhold listings or payouts, or take other action if you breach this Agreement or the law, provide false information, receive repeated serious complaints, or engage in fraud. Except in urgent cases (fraud, legal risk, customer safety), we will give you notice and an opportunity to respond.
11. Indemnity and liability
You indemnify Valley Rush Private Limited against claims, penalties and losses arising from your products, listings, taxes or breach of this Agreement or the law. Our total liability to you under this Agreement is limited to the Commission earned by us from your orders in the three months preceding the claim.
12. Term and termination
This Agreement continues until terminated. You may stop selling and close your shop by contacting us with 15 days' notice; pending orders must be fulfilled. Amounts due to either party survive termination.
13. Governing law
This Agreement is governed by Indian law, and courts at Srinagar, Jammu and Kashmir shall have exclusive jurisdiction.
